WorkLatch Terms of Service

Effective Date: August 31, 2026

Last Updated: August 31, 2026

These Terms of Service (“Terms”) govern access to and use of WorkLatch, a Maryland sole proprietorship (“WorkLatch,” “we,” “us,” or “our”), including the WorkLatch website, dashboard, telecommunications functionality, missed-call rescue features, intake tools, job packets, and related services (collectively, the “Service”).

These Terms primarily govern the relationship between WorkLatch and the business or organization that subscribes to and uses the Service (“Business Customer”), including individuals authorized to use the Business Customer’s account (“Authorized Users”).

People who call a Business Customer and may interact with a WorkLatch Rescue flow (“Callers”) are not automatically parties to the Business Customer’s subscription agreement merely because they call a participating business, receive a Rescue message, or submit a job request. WorkLatch’s handling of Caller information and Rescue messaging is also described in our Privacy Policy and SMS/Messaging Terms.

By creating a WorkLatch Business Account, purchasing a subscription, or accessing or using the Service as a Business Customer or Authorized User, you agree to these Terms.

1. Eligibility and Authority

Business Account users must be at least 18 years old.

If you create, administer, purchase, or use a WorkLatch account on behalf of a company, partnership, sole proprietorship, organization, or other entity, you represent that you have authority to act on its behalf and, where applicable, bind it to these Terms.

WorkLatch does not currently impose a blanket 18-and-over requirement on Callers using a Business Customer’s Rescue flow.

2. What WorkLatch Does

WorkLatch is a communications, workflow, intake, and job-request management platform designed to help participating service businesses respond to certain unanswered or missed calls.

Depending on the Business Customer’s configuration, eligible unanswered calls may be conditionally forwarded into WorkLatch’s telecommunications systems. WorkLatch may perform call-defense, eligibility, verification, consent, duplicate-detection, cooldown, rate-limit, abuse-prevention, and related operational checks before a Rescue interaction proceeds.

A missed call by itself does not automatically create a Rescue Activation.

For the current Rescue flow, an eligible Caller must complete the applicable human-verification and consent interaction, including affirmatively pressing 1, before WorkLatch may create a new Rescue Activation and send the applicable Rescue Link SMS.

A Caller who opens a Rescue Link may provide information such as the requested service, job description, timing, urgency, ZIP code or typed service-address information, preferred contact information, and optional photos or videos. A completed intake may become a job packet associated with the applicable Business Customer.

WorkLatch is a technology provider. It does not itself provide the underlying services offered by Business Customers.

Business Customers remain responsible for their own services, quotes, representations, workmanship, scheduling, customer relationships, and business practices.

3. No Guarantee of Missed-Call or Business Results

WorkLatch does not guarantee that:

  • every unanswered or missed call will be detected, forwarded, received, or processed;
  • every call will qualify for Rescue;
  • every Caller will complete verification or press 1;
  • every Rescue SMS will be successfully sent or delivered;
  • every Rescue Link will be opened;
  • every Caller will complete an intake;
  • every Caller submission or upload will be accurate, complete, truthful, useful, or suitable;
  • every Business Customer will respond to a Caller or job packet;
  • every Rescue will result in a quote, booking, sale, paying customer, or completed job;
  • WorkLatch will recover any particular missed opportunity or amount of revenue; or
  • use of WorkLatch will increase revenue, conversion rates, sales, or other business performance.

Business Customers remain responsible for evaluating and responding to their own customer opportunities.

4. Business Accounts and Authorized Users

Business Customers must maintain reasonably accurate and current account and business information.

Business Customers are responsible for protecting their credentials and appropriately managing Authorized Users, including users assigned roles such as OWNER, ADMIN, or MEMBER.

Business Customers must take reasonable steps to ensure their Authorized Users comply with these Terms and related WorkLatch policies.

You must promptly notify WorkLatch if you reasonably believe credentials have been compromised or unauthorized account access has occurred.

Nothing in this section makes a Business Customer strictly responsible for activity caused solely by a failure of WorkLatch’s own systems or another circumstance clearly outside the Business Customer’s reasonable control.

5. External Telephone Service and Call Forwarding

WorkLatch may provision a WorkLatch-assigned telephone number and provide setup instructions, verification tools, or related functionality.

The Business Customer remains responsible for maintaining its underlying telephone service, carrier relationship, public business line, conditional-forwarding settings, and other outside telephone configuration necessary for WorkLatch to operate.

Carrier outages, unsupported forwarding behavior, configuration changes, customer misconfiguration, routing delays, third-party network failures, or other circumstances outside WorkLatch’s reasonable control may affect the Service.

This section does not excuse failures caused by WorkLatch’s own systems or conduct.

6. WorkLatch-Assigned Telephone Numbers

A WorkLatch-assigned telephone number is provisioned and controlled by WorkLatch or its telecommunications providers for use with the Service.

A Business Customer receives a limited right to use its assigned number in connection with an authorized WorkLatch subscription. Subscription to WorkLatch does not transfer ownership of the assigned number to the Business Customer.

WorkLatch does not guarantee that a Business Customer will be able to retain, transfer, port out, or continue using a WorkLatch-assigned number after cancellation or termination.

Any portability, transfer, reassignment, or continued use is subject to applicable law, carrier or provider requirements, technical feasibility, and WorkLatch policies then in effect.

Business Customers should not assume that a WorkLatch-assigned number is a permanent replacement for their existing public business number.

7. Subscription and Automatic Renewal

WorkLatch is currently offered as a recurring monthly subscription.

The current standard subscription price is $39.99 per month.

Applicable pricing and included usage will also be displayed during purchase or within the Service.

By purchasing a recurring subscription, you authorize WorkLatch and its payment processor, Stripe, to charge the applicable recurring subscription amount and any applicable taxes or other properly disclosed charges to the payment method maintained through Stripe until the subscription is canceled.

Subscriptions automatically renew for successive monthly billing periods unless canceled in accordance with these Terms.

WorkLatch currently does not offer a free trial unless expressly stated otherwise at the time of purchase.

8. Rescue Activations and Included Usage

A “Rescue Activation” is WorkLatch’s current usage and economic unit for eligible Rescue activity.

Raw missed calls do not automatically count as Rescue Activations.

The current standard subscription includes 100 Rescue Activations per billing period.

Unused included Rescue Activations expire at the end of the applicable billing period and do not roll over.

WorkLatch may later offer Rescue Packs, promotional credits, courtesy capacity, or other forms of additional usage. Those products may have separate pricing, limits, expiration rules, or conditions disclosed when offered.

The ordinary included-usage reset rule does not automatically apply to future Rescue Packs, promotional credits, or courtesy capacity unless WorkLatch expressly states otherwise.

9. Billing and Payment Processing

Stripe processes subscription payments for WorkLatch.

WorkLatch may receive and retain billing-related metadata such as Stripe customer identifiers, subscription identifiers, invoice identifiers, subscription status, billing-period dates, and payment-success or payment-failure information.

WorkLatch does not currently receive or store full payment-card numbers, CVVs, or bank-account credentials entered through Stripe’s hosted payment interfaces.

Business Customers are responsible for maintaining a valid payment method and accurate billing information through the payment tools made available to them.

Prices may be exclusive of applicable taxes. WorkLatch may calculate, collect, or remit taxes where required by law or where tax functionality is enabled.

10. Failed Payments and Grace Periods

If a recurring payment fails or a subscription enters a payment-problem state, WorkLatch may provide a limited grace period.

During a grace period, some features or paid operational functionality may be limited.

WorkLatch does not guarantee a specific grace-period duration.

If the payment issue remains unresolved, or the subscription is reported as unpaid, paused, canceled, or otherwise not entitled to paid service, WorkLatch may restrict or suspend paid functionality until the account is brought current.

A later successful payment may restore paid access where applicable.

WorkLatch does not promise any particular Stripe card-retry schedule.

11. Cancellation

A Business Customer may cancel its subscription using a cancellation method WorkLatch makes available through the Service, billing tools, or designated support channels.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.

The Business Customer may continue using paid WorkLatch functionality through that already-paid period, subject to these Terms.

Ordinary voluntary cancellation does not produce a prorated refund for unused days.

Cancellation does not automatically constitute a request to delete the Business Customer’s account or associated information.

Additional information appears at:

https://www.worklatch.tech/refund-policy

12. Refunds and Credits

Payments are generally non-refundable once charged, except where:

  • applicable law requires a refund;
  • WorkLatch identifies a duplicate charge or billing error;
  • a charge was improperly made after an effective cancellation;
  • WorkLatch determines that a material service failure warrants a refund or credit; or
  • WorkLatch otherwise specifically approves an exception.

WorkLatch does not operate a general satisfaction-guarantee refund program.

13. Rescue Messaging and Caller Consent

WorkLatch facilitates and sends Rescue customer-care messages concerning the specific Business Customer identified in the applicable call and message.

For the current V1 Rescue flow, pressing 1 during the applicable voice interaction is intended to authorize one Rescue Link SMS associated with that specific call and that specific Business Customer.

That consent does not authorize recurring WorkLatch messages, promotional or marketing messages, unrelated offers, messages from unrelated WorkLatch Business Customers, or enrollment in a general WorkLatch SMS list.

Recipient-initiated compliance interactions such as HELP or STOP may result in deterministic compliance processing or responses.

Message and data rates may apply.

Additional messaging terms are available at:

https://www.worklatch.tech/sms-terms

14. STOP and Messaging Compliance

WorkLatch maintains messaging-suppression controls intended to honor opt-out requests.

Under WorkLatch’s current application-level model, a STOP request associated with a WorkLatch-assigned number suppresses future WorkLatch Rescue messaging between that Caller and the particular Business Customer associated with that number or message.

Wireless carriers, telecommunications providers, or messaging-platform systems may impose additional or broader opt-out restrictions.

A STOP interaction does not create a Rescue Activation, consume Rescue usage, or generate a Rescue Link.

Business Customers may not interfere with or circumvent WorkLatch’s consent, suppression, HELP, STOP, Call Defense, rate-limit, abuse-prevention, or telecommunications-compliance controls.

15. Business Customer Use of Caller Information

Business Customers may use Caller and job-request information for legitimate purposes reasonably connected to:

  • responding to the Caller’s service request;
  • communicating about that request;
  • evaluating, quoting, scheduling, or performing the requested service;
  • reasonable internal business administration connected to that customer relationship; and
  • complying with applicable law.

Business Customers may not:

  • sell or resell Caller or job-request information;
  • use Rescue submissions as unrelated third-party marketing lead lists;
  • automatically enroll Callers in unrelated promotional campaigns merely because they used WorkLatch;
  • traffic in or improperly disclose Caller information; or
  • send unrelated marketing communications without any separate lawful consent required.

16. Customer Content

Business Customers retain their rights in information and materials they submit to WorkLatch.

Business Customers grant WorkLatch a limited, non-exclusive license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content only as reasonably necessary to provide, secure, maintain, troubleshoot, support, and lawfully operate the Service.

Customer Content does not become WorkLatch property merely because it is submitted to WorkLatch.

17. Caller Uploads

Callers retain ownership of photos, videos, and other content they upload, subject to rights held by others.

By uploading content, a Caller grants WorkLatch a limited, non-exclusive license to host, store, technically reproduce, process, transmit, secure, and make that content available to the specific Business Customer associated with the Rescue request, solely as reasonably necessary to provide, maintain, secure, support, and lawfully operate the Service.

That license does not authorize WorkLatch to sell Caller media, use it in advertising, publish it publicly, use it for unrelated commercial purposes, or train general-purpose AI/ML models on it.

18. Responsibility for Uploaded Content

Users may not knowingly upload or submit content that:

  • violates privacy, publicity, intellectual-property, or other legal rights;
  • contains unlawful material;
  • contains child sexual abuse material or sexual exploitation of minors;
  • contains non-consensual intimate imagery;
  • contains unlawful pornography or sexual exploitation;
  • depicts, promotes, or facilitates serious unlawful activity;
  • contains malware or malicious code;
  • infringes copyright or trademark rights; or
  • is intended to seriously harass, threaten, exploit, or abuse another person.

WorkLatch does not currently claim that every uploaded file is antivirus-scanned or certified safe.

19. Acceptable Use

You may not use WorkLatch for unlawful, fraudulent, deceptive, abusive, unauthorized, spam-related, malicious, or prohibited activity.

Additional requirements appear at:

https://www.worklatch.tech/acceptable-use

20. Enforcement

Where reasonably appropriate, WorkLatch may investigate suspected abuse, fraud, security threats, unlawful activity, telecommunications violations, or policy violations.

WorkLatch may restrict or disable functionality, remove or quarantine prohibited content, suspend or terminate accounts, preserve relevant information, make legally required disclosures, and cooperate where legally appropriate with providers, regulators, courts, law enforcement, or other authorities.

These rights do not mean WorkLatch continuously monitors every communication, job packet, or upload.

21. Security

WorkLatch uses reasonable administrative, technical, and organizational measures intended to protect the Service and information processed through it.

Safeguards may include access controls, tenant isolation, private media storage, token protections, rate limits, and other implemented security or abuse-prevention mechanisms.

No system, network, storage method, software service, or transmission method can be guaranteed completely secure.

WorkLatch does not currently claim SOC 2, ISO 27001, HIPAA certification, or another security certification unless expressly stated otherwise.

22. Third-Party Services

WorkLatch depends on third-party systems and services, including telecommunications carriers, Telnyx, Stripe, Supabase, Vercel, internet/network providers, and other infrastructure or service providers WorkLatch may reasonably use.

Their outages, filtering, routing failures, payment-processing problems, API failures, maintenance, restrictions, or other disruptions may affect the Service.

This does not excuse failures caused by WorkLatch’s own systems, conduct, or obligations.

23. Availability and Maintenance

WorkLatch will use reasonable efforts to operate and maintain the Service.

WorkLatch does not currently provide a contractual uptime SLA and does not guarantee uninterrupted, continuously available, or error-free operation.

WorkLatch may perform maintenance, deploy updates or security fixes, modify infrastructure, temporarily limit functionality, respond to provider outages or security incidents, or perform emergency maintenance.

24. WorkLatch Intellectual Property

WorkLatch and its licensors retain all rights, title, and interest in the WorkLatch platform and WorkLatch-created protectable intellectual property and proprietary materials, including software, source code, interfaces, designs, branding, logos, documentation, and platform-generated materials.

Nothing in these Terms claims ownership over abstract ideas or general software concepts.

25. Limited License

Subject to these Terms and the applicable subscription, WorkLatch grants the Business Customer a limited, non-exclusive, non-transferable, and non-sublicensable right to use the Service for authorized internal business purposes.

That right may be restricted, suspended, or terminated in accordance with these Terms.

Except where applicable law expressly permits otherwise, you may not resell unauthorized access, bypass security or rate limits, engage in unauthorized scraping, reverse engineer WorkLatch to the extent legally restrictable, or improperly extract proprietary materials to reproduce or compete with WorkLatch.

26. Feedback

WorkLatch may use voluntary suggestions, ideas, feature requests, or other Feedback without payment, attribution, or an obligation to implement it.

Feedback is different from Customer Content, Caller information, job packets, customer lists, uploaded media, confidential support attachments, or other private information.

27. Product, Plan, and Pricing Changes

WorkLatch may prospectively modify, improve, add, replace, limit, or discontinue features and may evolve pricing, plans, included usage, Rescue Activation allowances, courtesy capacity, or other commercial terms.

Current pricing and allowances are not guaranteed to remain unchanged indefinitely.

For recurring price changes affecting existing paid subscriptions, WorkLatch will provide whatever advance notice or consent applicable law and applicable payment rules require.

28. Suspension and Termination

WorkLatch may immediately restrict, suspend, or terminate access where reasonably necessary in connection with fraud, spam, unlawful communications, telecommunications/carrier compliance risk, malicious activity, serious AUP violations, payment fraud/provider restrictions, or other serious legal, security, carrier, compliance, or financial risk.

For less urgent or remediable issues, WorkLatch may provide notice or an opportunity to cure at its discretion.

29. Data After Cancellation or Termination

Cancellation or termination does not necessarily cause immediate deletion of account, billing, telecom, Caller, job-packet, consent, security, or compliance information.

WorkLatch may retain or delete information consistent with its Privacy Policy, applicable law, billing/accounting needs, telecom consent or opt-out evidence, fraud/security prevention, disputes, legal claims, agreement enforcement, and then-current legitimate retention practices.

WorkLatch does not promise indefinite storage or a fixed post-termination export window.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WorkLatch disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent legally permitted.

Nothing in these Terms disclaims an express commitment WorkLatch actually makes or excludes a warranty or right applicable law does not permit WorkLatch to disclaim.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKLATCH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

This includes, where legally permitted, lost profits, revenue, business opportunities, goodwill, anticipated savings, indirect business interruption, or losses caused because a Caller did not complete an intake, an SMS was not delivered, a call was not recovered, or a lead did not convert.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKLATCH’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY THE APPLICABLE BUSINESS CUSTOMER TO WORKLATCH DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not exclude liability applicable law does not permit WorkLatch to exclude or limit.

32. Indemnification

To the extent permitted by law, the Business Customer agrees to defend, indemnify, and hold harmless WorkLatch and its personnel from third-party claims arising from matters within the Business Customer’s control, including unlawful use, AUP violations, spam or unlawful communications caused by the Business Customer, misuse or sale of Caller information, Business Customer-supplied content or instructions, infringement caused by supplied materials, the Business Customer’s actual services or business practices, the Business Customer’s violation of applicable law, or disputes with its customers arising from its conduct.

This indemnity does not require the Business Customer to indemnify WorkLatch for a claim caused solely by WorkLatch’s own negligence, willful misconduct, unlawful conduct, or breach of these Terms.

WorkLatch may exercise reasonable control over defense and settlement, but will not settle a claim in a manner that imposes an admission or non-monetary obligation directly on the Business Customer without appropriate consent.

33. Informal Dispute Resolution

Before initiating formal legal proceedings, the parties will make a reasonable good-faith effort to resolve the dispute informally.

No fixed contractual waiting period applies.

34. Governing Law and Courts

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles.

Unresolved disputes may be brought in an appropriate state or federal court with jurisdiction in Maryland, subject to applicable jurisdiction and venue requirements.

These Terms do not currently require mandatory arbitration.

35. Privacy

WorkLatch’s handling of personal information is described at:

https://www.worklatch.tech/privacy

36. Changes to These Terms

WorkLatch may revise these Terms as the Service, business, technology, or law changes.

Material changes affecting existing Business Customers may receive reasonable notice where required.

Changes apply prospectively according to their stated effective date.

37. Electronic Communications and Notices

WorkLatch may provide account, billing, security, legal, service, and other notices electronically, including through email, the Service, or in-product notices.

Business Customers are responsible for keeping their account email reasonably current.

38. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, franchise, employment relationship, or general agency relationship between WorkLatch and a Business Customer.

WorkLatch is not automatically a party to the underlying service transaction between a Business Customer and its customer.

39. Severability

If a provision is unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

40. No Waiver

Failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.

41. Entire Agreement

These Terms, together with incorporated WorkLatch policies, constitute the agreement governing the Business Customer’s use of the Service with respect to the subjects they cover.

42. Contact and Support

WorkLatch support information is available through:

Email: support@worklatch.tech

Support: https://www.worklatch.tech/support

WorkLatch does not guarantee 24/7 live support, phone support, or a particular response or resolution time.

43. Business Identity

WorkLatch is operated as a Maryland sole proprietorship.
